Sales Partner Terms
Last updated: October 25, 2026
These Sales Partner Terms are an agreement between LaVilla Holdings LLC, doing business as Christian Wedding Vendor ("CWV," "we"), and the person or business we invite to refer wedding vendors to CWV ("Partner," "you"). You accept them by checking the box when you set up your partner account. Our Terms of Service and Privacy Policy also apply.
1. How you join
- The Sales Partner program is by invitation only. CWV creates your partner account, and you sign in with the email we invited.
- A partner account is for referring vendors. It does not create a listing on CWV. If you also run a wedding business, you can list it separately under the Vendor Listing Agreement.
2. What counts as a referral
A referral counts when a vendor:
- starts signup through your referral link;
- is new to CWV and has never had a CWV listing;
- is not you, a business you own or control, or someone acting on your behalf; and
- has their listing approved.
If a vendor doesn't sign up through your link, the referral can't be added later.
3. What you earn
- You earn a commission on the subscription payments CWV receives from each vendor you refer during the first 12 months after their first paid payment.
- Your commission rate is shown in your partner dashboard. The standard rate is 30%. CWV may set a different rate for some partners; the rate shown when a referred vendor signs up applies to that vendor.
- Commissions are calculated on the payment amount before taxes.
- Free trials and founding listings don't generate commissions, because no payment is made. If a referred vendor starts paying later, payments in the first 12 months after their first paid payment count.
- Vendors you refer pay standard prices. Referrals don't include a discount for the vendor who signs up.
4. How you're paid
- Payouts are made through Stripe Connect. To be paid, you must complete Stripe's account setup, including identity and bank details, directly with Stripe.
- Each commission is held for 30 days after the referred vendor's payment, then becomes payable.
- Payouts are sent once your payable balance reaches at least $10.
- If a referred vendor's payment is refunded or disputed before its commission is paid, that commission is canceled.
- If you haven't completed Stripe setup within 12 months after a commission becomes payable, we will remind you by email; commissions still unclaimed after that period are forfeited.
5. Independent contractor
- You are an independent contractor, not CWV's employee, agent, partner, or joint venturer. You choose your own schedule and methods and pay your own expenses. You are not eligible for employee benefits.
- You have no authority to sign agreements, make promises, accept payments, or approve listings on CWV's behalf.
6. Taxes
You are responsible for any taxes on your commissions. CWV or Stripe may ask for tax information, such as a Form W-9, and issue tax forms, such as Form 1099, where required.
7. How you may promote CWV
You may share your link with vendors you know, in your own posts, emails, and conversations, and in paid ads on social media platforms such as Instagram, Facebook, TikTok, and Pinterest. Whenever you promote CWV with your link, clearly say that you earn a commission for referrals, as required by Federal Trade Commission rules. Follow anti-spam laws, including CAN-SPAM for email and the TCPA for calls and texts. You may not:
- send spam or unsolicited bulk messages;
- make false or misleading statements about CWV, its prices, or its results;
- promise vendors approval, a founding spot, placement, rankings, or any number of views or inquiries (founding spots are offered only by CWV, by invitation);
- present yourself as CWV or as acting on CWV's behalf;
- run paid ads on Google, Bing, or any other search engine or search ad network that mention CWV or link to CWV, including bidding on CWV's name or related keywords;
- run ads that appear to come from CWV, or use CWV's logo or branding in a way that suggests CWV made or approved your ad;
- offer cash, gifts, or discounts to get vendors to sign up; or
- create accounts or listings to earn commissions.
8. Information
Use what you learn about CWV and the vendors you refer only to make referrals. Your partner dashboard shows which vendors signed up through your link and what you've earned. You don't have access to couples' inquiries or vendors' private information.
9. Ending participation
- You or CWV may end your participation at any time by email. Commissions earned before then are still paid under these terms.
- If we find fraud, self-referrals, or a breach of these terms, we may cancel affected commissions, including unpaid ones, and end your participation immediately.
10. Changes
CWV may change these terms or end the Sales Partner program with at least 30 days' notice by email. Commissions earned before a change takes effect are paid under the terms in effect when they were earned.
11. Liability and indemnity
TO THE FULLEST EXTENT PERMITTED BY LAW, CWV'S TOTAL LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE COMMISSIONS OWED TO YOU, AND CWV IS NOT LIABLE FOR INDIRECT OR CONSEQUENTIAL DAMAGES. You will indemnify and hold harmless CWV from claims arising from how you promote CWV or your breach of these terms.
12. Governing law and disputes
Georgia law governs these terms. Any dispute relating to them will be resolved exclusively in the state or federal courts located in Fulton County, Georgia, and both parties consent to their jurisdiction.
