Vendor Listing Agreement

1. Agreement

This Vendor Listing Agreement ("Agreement") is between LaVilla Holdings LLC, doing business as Christian Wedding Vendor ("CWV," "we"), and the business that creates a vendor account ("you"). You accept it by checking the box at signup. The Terms of Service and Privacy Policy also apply; if they conflict with this Agreement, this Agreement controls for vendors.

2. Your listing

• Accurate information. Your business name, category, city, service area, contact details, photos, and description must be accurate and current.
• Real prices. Every listing must show at least one service with a real price or price range. Venues and planners must show at least one "starting at" package. You must confirm your prices at least every 6 months when we ask; we may mark or pause listings with outdated pricing.
• Your business is yours. You are an independent business. You are solely responsible for your services, contracts with couples, licenses, permits, insurance, and taxes. CWV is not a party to your agreements with couples.

3. Review and approval

• A person reviews every listing before it is published. We may approve it, ask for changes, schedule a call, or decline it, at our discretion.
• Faith, optional. You may sign our faith affirmation and may write a faith statement. Neither is required to list, and you do not have to be Christian. If you sign the affirmation and your listing is approved, it shows a "Verified" badge. If you also choose to show a reviewed faith statement on your profile, it shows "Verified ✝." Your statement is private unless you turn on public display, and you can turn it off at any time.
• If you edit your faith statement after approval, it returns to review before any public display.
• We may remove a listing or badge if information is false, if you breach this Agreement, or if needed to protect couples or the Site.

4. Your content

• You keep ownership of your photos, text, videos, and other content ("Your Content").
• You grant CWV a non-exclusive, worldwide, royalty-free license, for as long as your listing is active, to host, display, reproduce, format, and distribute Your Content on the Site, in search results and link previews, and to promote your listing and CWV, including on CWV's social media.
• You confirm you own or have permission to use Your Content, including photographers' permission for any photos you did not take, and permission from people shown in them.
• Journal stories. For tiers that include them, we prepare the story from your interview answers and your own words. You approve it before it is published.

5. Leads from couples

• We deliver each inquiry to you in full, by email and in your dashboard. There are no lead or unlock fees.
• We screen inquiries for bots and spam, but we cannot guarantee every inquiry will result in a booking, or that any number of inquiries will arrive.
• Use a couple's information only to respond to their inquiry and provide your services. Do not sell it, share it, or add couples to marketing lists without their consent. Protect it as required by law.

6. Reviews

• Only couples who contacted you through CWV can review you. You choose whether to display reviews; if you do, all eligible reviews are shown, including Google reviews, and if you don't, none are.
• Do not write, buy, or offer anything in exchange for reviews, review yourself or competitors, or pressure couples to change or remove a review. You may report a review you believe is spam, abusive, or fraudulent.

7. Plans and fees

• Placement and visibility. We decide how listings are ordered and displayed. We build every listing to be found by search engines and AI tools, but we do not guarantee any ranking, traffic, or number of inquiries.
• Features may change as the Site evolves. We will not remove a core feature of your paid plan during a paid period without a prorated refund or credit.

8. Founding cohort

• One vendor per category per city may hold a founding spot. Founding spots are offered by invitation only, and a business may hold only one, in one city. The Founding Cohort Terms apply.
• A founding listing is free for as long as: your listing stays active, you confirm your prices when asked (at least every 6 months), and you remain in good standing under this Agreement.
• If you stop meeting these conditions and don't fix it within 30 days after we notify you, we may end your founding status and offer the spot to another vendor. You may then continue on a paid plan.
• Founding status is not transferable, including to a buyer of your business, without our written consent.

9. Free trial

• New Priority listings start with a 2-month free trial. No payment card is required to start.
• During the trial we email your statistics on about days 30, 45, and 55. On day 45 we may offer an annual plan at a rate locked for as long as you stay continuously subscribed.
• If you have not added a payment method by the end of the trial, your listing is paused: hidden from the Site, with your information kept so you can reactivate it. We never charge you unless you add a payment method.

10. Billing and cancellation

• Payments are processed by Stripe. Plans renew automatically each month or year until you cancel.
• Price changes: we will give at least 30 days' notice of a price change for monthly plans. A locked annual rate does not change while you remain continuously subscribed.
• Renewal notices: for annual plans, we will email a reminder at least 15 days before renewal.
• Cancel anytime in your dashboard through Stripe's billing page. Your listing stays live until the end of the period you paid for. Fees already paid are not refunded for unused time, except where required by law.
• Failed payments: we will notify you and may pause your listing if payment is not resolved within 14 days.
• Fees exclude taxes; you are responsible for applicable taxes.

11. Referral program

• Who can refer: any vendor with an active listing in good standing. The Referral Program Terms apply in full and control if anything in this section conflicts with them.
• Commission: 30% of the subscription payments made by each vendor you refer during that vendor's first 12 months of paid service. Your rate is shown in your dashboard and may differ by vendor. Founding vendors you refer don't pay, so no commission is earned on them. Referred vendors receive no discount.
• Qualifying referrals: the vendor must sign up through your referral link, be new to CWV, and be approved. You can't refer yourself, a business you own or control, or accounts created to earn commissions.
• Payment: commissions are held for 30 days after the referred vendor's payment, then paid through Stripe Connect once you are owed at least $10. You must complete Stripe's account setup to be paid. Refunded or disputed payments cancel any commission not yet paid.
• Conduct: don't spam, make false claims about CWV, or offer couples or vendors anything in exchange for signing up.
• Taxes: you are responsible for taxes on commissions. We or Stripe may request tax information and issue tax forms as required.
• Relationship: referring vendors does not make you CWV's employee, agent, or partner.
• Changes: we may change or end the program with 30 days' notice. Commissions earned before the change will be paid under the terms in effect when they were earned.

12. Conduct

You agree not to: list false or misleading information or prices; discriminate unlawfully against couples; harass couples or other vendors; misuse lead data; manipulate statistics, inquiries, or reviews; or use the Site for anything illegal.

13. Term and termination

• This Agreement lasts while you have a vendor account. You may close your account at any time.
• We may suspend or terminate your listing for breach of this Agreement, with notice where practical.
• Sections on content license (for the period stated), fees owed, referral commissions earned, disclaimers, liability, and indemnity survive termination.

14. Disclaimers and liability

THE SITE AND SERVICES ARE PROVIDED "AS IS." CWV DOES NOT GUARANTEE ANY NUMBER OF INQUIRIES, BOOKINGS, OR REVENUE. TO THE FULLEST EXTENT PERMITTED BY LAW, CWV'S TOTAL LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE FEES YOU PAID CWV IN THE 12 MONTHS BEFORE THE CLAIM, AND CWV IS NOT LIABLE FOR INDIRECT OR CONSEQUENTIAL DAMAGES.

15. Indemnity

You will indemnify and hold harmless CWV from claims arising from your services, Your Content, your dealings with couples, or your breach of this Agreement.

16. Governing law and disputes

Georgia law governs this Agreement. Any dispute relating to this Agreement will be resolved exclusively in the state or federal courts located in Fulton County, Georgia, and both parties consent to their jurisdiction.

17. Changes

We may update this Agreement with at least 30 days' notice by email. Continuing to list after the effective date means you accept the update.
